Ron F. Hochstein, President and Chief Executive Officer Mr. Hochstein, P.Eng., was appointed President and Chief Executive Officer of the Company on May 20, 2009. Before that he was President and Chief Operating Officer for approximately two and a half years. Prior to the Denison Arrangement, he served as President and Chief Executive Officer of the Company. Mr. Hochstein has served as a director to the Company since April 2000. Mr. Hochstein joined the Company in October 1999 as Vice-President, Corporate Development and later served as Vice-President and Chief Operating Officer, prior to his appointment as President and Chief Executive Officer in April 2000. Prior to joining the Company, Mr. Hochstein was a Project Manager with Simons Mining Group and was with Noranda Minerals as a metallurgical engineer. Mr. Hochstein is also President of Uranium Participation Corporation. Mr. Hochstein is a Professional Engineer and holds an MBA from the University of British Columbia and a B.Sc. from the University of Alberta. |

James R. Anderson, Executive Vice-President and Chief Financial Officer Mr. Anderson was appointed Executive Vice-President and Chief Financial Officer of Denison Mines Corp. on December 1, 2006, a position which he held at DMI starting in May 2004 until that company's arrangement with International Uranium Corporation. Prior to joining Denison, Mr. Anderson was Managing Director of Exel Energy Group Inc. Prior to that, he held the position of Senior Vice President and Chief Financial Officer at Rogers Cable Inc. Mr. Anderson, a Chartered Accountant since 1974, has held various senior positions in operations, marketing, development, accounting and finance at companies in the energy sector, including Westcoast Energy Inc. and Union Gas Limited. Mr. Anderson is currently a Trustee of Countryside Power Income Fund and has served as a director on a number of boards of companies in the gas sector. Mr. Anderson has completed the Executive Development Program at the Richard Ivey School of Business at the University of Western Ontario and obtained his B.A. from the University of Windsor in 1970. |

Harold R. Roberts, Executive Vice President, U.S. Operations Mr. Roberts was appointed Executive Vice President, U.S. Operations in 2006. Prior to that date, he was Vice President Corporate Development of International Uranium (USA) Corporation (“IUC”) from 2005 – 2006. He worked as a consultant to the Company from 2003 – 2004. Mr. Roberts was Vice President of IUSA, a predecessor company, from 2001 – 2003. Beginning in 1978, Mr. Roberts was employed by Energy Fuels Nuclear, Inc. in various technical and management positions including participation in the design and construction of the White Mesa Uranium Mill, located near Blanding, Utah. He was named the President of Energy Fuels Nuclear, Inc. prior to the acquisition of the Energy Fuels uranium assets by IUC in 1997, after which he held various positions related to operations oversight and project development. Mr. Roberts obtained his Bachelor of Science degree in Civil Engineering from Montana State University in 1975, and he is a registered professional engineer in several U.S. states. |

Philip G. Buck, Vice President, U.S. Mining Mr. Buck joined Denison as Vice President, U.S. Mining in January 2008. Prior to that date, he was General Manager, Canada for Dynatec Corporation from 2006 – 2008. He was Area Manager for Dynatec from 2003 – 2005 and Project Manager for Barrick Gold Corporation from 2001 – 2003. He worked for J.S. Redpath Corporation as Manager of U.S. Operations from 1998 – 2001 and as a project engineer from 1989 – 1991 and from 1993 – 1995. He received his B.S. in Mining Engineering from the New Mexico Institute of Mining and Technology in 1988. |

Donald C. Campbell, Vice-President, Commercial Mr. Campbell, P.Eng., was appointed Vice President, Commercial of the Company on December 1, 2006. Prior to the Denison Arrangement, Mr. Campbell was Vice President, Marketing and Special Projects for Denison Mines Inc. (“DMI”). Mr. Campbell joined Denison Mines Limited (“DML”), a predecessor of DMI in April, 1981 as Executive Assistant to the President and was appointed Vice President, Special Projects in 1986. Prior to joining DML, Mr. Campbell was Executive Vice President and Director of Basic Resources International S.A. from 1966 to 1980 and prior to that held senior management and executive positions with the Irving group of companies in Eastern Canada. Mr. Campbell graduated from the University of New Brunswick in 1959 with a B.Sc. in Civil Engineering and is a registered Professional Engineer in Ontario. |

Andre Desautels, Vice President, General Counsel & Corporate Secretary Mr. Desautels was appointed Vice-President, General Counsel and Corporate Secretary of the Company in October, 2008. Prior to joining Denison, Mr. Desautels was a member of the New Media Executive Team at Canwest Publishing Inc., from 2005 to 2008.Starting in 2001, he held the position of Associate General Counsel for the Canadian division of Time Warner Inc. and held various positions in operations, business development and legal affairs for EDS Canada Inc. from 1998 to 2001. Mr. Desautels has an MBAfrom the University of Quebec in Montreal, an LL.B. from the University of Ottawa and has been a member of the Quebec and Canadian Bar Associations since 1996.

David C. Frydenlund, Vice President, U.S. Legal and Regulatory Affairs & Assistant Corporate Secretary Mr. Frydenlund was appointed Vice President, U.S. Legal and Regulatory Affairs in 2006. Prior to that date, he was Vice President and General Counsel and Corporate Secretary of the Company from 1997 – 2006 and Chief Financial Officer and Treasurer of the Company from 2000 – 2005. He was a Director of the Company from 1997 – 2006. |

William C. Kerr, Vice President, Exploration Mr. Kerr was appointed Vice President, Exploration commencing in 2006. Prior to that date, he was Vice President, Exploration and Development for Denison Mines Inc. from 2004 – 2006. Mr. Kerr was Director, Resource Evaluation for Denison Energy and its predecessor from 1997 – 2003. He graduated from the University of New Brunswick with a Bachelor of Science in 1975. He has worked on all continents except Antarctica for major and junior mining companies and as a consultant. He spent many years after graduation in positions of increasing responsibility with the Dome Mines Group of companies. He was primary author of the first publicly filed report on uranium Reserves and Resources on the TSE after NI 43-101 became enacted. He is the Qualified Person for Denison Mines as specified in NI 43-101, and is a member of the Association of Professional Geoscientists of Ontario, and the Association of Professional Engineers and Geoscientists of Saskatchewan. |

Curt D. Steel, Vice President, Sales and Marketing Mr. Steel joined Denison as Vice President, Sales and Marketing in January 2008. Prior to that date, Mr. Steel was Senior Trader with NUKEM, Inc. from 1998 – 2007. Mr. Steel was Vice President at The Uranium Exchange Company from 1990 – 1997, serving in various functions including nuclear fuel brokerage, consulting and information services. He received his B.Sc. degree in Biology from The Pennsylvania State University in 1974, with minors in Chemistry and Business Administration.

Michael J. Schoonderwoerd, Controller Mr. Schoonderwoerd joined Denison as Corporate Controller in August 2004. Prior to that date, Mr. Schoonderwoerd was a Finance Manager at Nortel Networks from 1996 to 2004 in various capacities ranging from corporate consolidations and external reporting, business unit finance support and manufacturing divestiture activities. Mr. Schoonderwoerd received his Chartered Accountant designation in 1996 and he received his Honours Bachelor of Business Administration from Wilfrid Laurier University in 1992.
